These Terms of Service ("Terms") are a legal agreement between you and Band9prep Education, Inc. ("Band9prep," "we," "us," or "our") governing your access to and use of our website, applications, and IELTS preparation services (collectively, the "Services"). By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Acceptance of Terms
By creating an Account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree, you are not authorized to use the Services.Definitions
a. "Account" means your registered user profile used to access features of the Services.
b. "Content" means text, audio, video, graphics, questions, model answers, explanations, and all other materials available in the Services.
c. "User Content" means content you submit, upload, record, or generate through the Services, including essays, speaking recordings, and test responses.
d. "Subscription" means a paid plan that grants access to premium features for a recurring or fixed billing period.Eligibility and Account Registration
a. You must be at least 16 years old, or the minimum legal age in your jurisdiction, to use the Services.
b. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
c. You agree to provide accurate, current, and complete account information and keep it updated.
d. You are responsible for all activity under your Account and for maintaining the confidentiality of your login credentials.
e. You may not share, sell, rent, or transfer your Account unless we expressly authorize it in writing.
f. Accounts are for single-user access only. Credential sharing is prohibited and may result in suspension or termination.Scope of Services
a. Band9prep provides educational tools to support IELTS preparation, including practice content, progress tracking, and learning insights.
b. Our Services may include practice tests across IELTS modules (Listening, Reading, Writing, and Speaking), study resources, simulated test environments, and feedback features where available.
c. Features may change over time. We may add, remove, or modify features to improve reliability, quality, security, or compliance.
d. Some features are free, while others require a paid Subscription. Availability may vary by region, device, or legal requirements.Acceptable Use
You agree not to, and not to help others to:
a. Violate any law, regulation, or third-party right.
b. Upload harmful, deceptive, abusive, or infringing content.
c. Attempt to bypass access controls, security features, or usage limits.
d. Use bots, scrapers, or automation to extract data without permission.
e. Interfere with system performance, including denial-of-service behavior.
f. Misrepresent identity or affiliation.
g. Reproduce, resell, or distribute premium content except as allowed in these Terms.User Content and License Grant
a. You retain ownership of your User Content.
b. You grant Band9prep a non-exclusive, worldwide, royalty-free license to host, store, process, analyze, display, and use User Content to: (i) provide the Services, (ii) generate feedback and personalization, (iii) improve and train product features, and (iv) maintain safety, integrity, and compliance.
c. You represent that you have all rights needed to submit your User Content and that it does not violate applicable law or third-party rights.
d. We may remove or restrict User Content that violates these Terms or creates legal or security risk.Intellectual Property Rights
a. The Services and all Band9prep Content are owned by or licensed to Band9prep and protected by intellectual property laws.
b. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial IELTS preparation.
c. You may not copy, modify, create derivative works from, publicly display, distribute, or reverse engineer any part of the Services except as permitted by law or with our written permission.
d. All trademarks, logos, and brand elements of Band9prep remain our exclusive property.Subscriptions, Billing, and Payments
a. Paid plans may be offered on a monthly, annual, or other stated basis.
b. Unless otherwise specified, Subscriptions renew automatically at the end of each billing cycle.
c. You authorize us and our payment providers to charge your selected payment method for fees, taxes, and any applicable charges.
d. You can cancel at any time. Cancellation applies to future renewal periods, and access remains available through the current paid term unless otherwise stated.
e. Fees are generally non-refundable except where required by law or provided in our Refund Policy.
f. We may change pricing with prior notice. If you do not agree, you may cancel before the next renewal date.Trials, Promotions, and Referral Programs
a. We may offer free trials, discounts, referral credits, or promotional campaigns subject to additional eligibility rules.
b. We may modify or terminate promotions at any time, subject to applicable law.
c. Abuse, fraud, or manipulation of promotions may result in suspension or cancellation of related benefits.Educational and AI Output Disclaimer
a. The Services are educational tools only and do not guarantee any specific IELTS score, admission, visa outcome, or career result.
b. AI-generated feedback may be imperfect, incomplete, or unsuitable for your circumstances. You remain responsible for evaluating and applying any recommendations.
c. Our materials supplement, and do not replace, official IELTS guidance or professional advice where appropriate.Privacy and Data Practices
Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Services, you acknowledge that we may process your data as described in the Privacy Policy and applicable law.Third-Party Services and Links
a. The Services may integrate with or link to third-party platforms, payment processors, analytics providers, or communication tools.
b. We are not responsible for third-party websites, products, or services, and your use of them is governed by their own terms.Suspension and Termination
a. We may suspend, restrict, or terminate access to the Services if we reasonably believe you violated these Terms, created legal risk, or harmed the security or integrity of the platform.
b. You may stop using the Services at any time.
c. Upon termination, rights granted to you under these Terms end immediately, except provisions that by their nature survive.Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant uninterrupted access, error-free operation, or specific learning outcomes.Limitation of Liability
To the fullest extent permitted by law:
a. Band9prep is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.
b. Our total aggregate liability for all claims arising from or related to the Services will not exceed the greater of (i) amounts paid by you to Band9prep in the 12 months before the claim or (ii) USD $100.
c. Some jurisdictions do not allow certain limitations, so portions of this clause may not apply to you.Indemnification
You agree to defend, indemnify, and hold harmless Band9prep and its directors, officers, employees, and affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services, your User Content, or your violation of these Terms.Governing Law and Dispute Venue
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Subject to the arbitration provisions below, the state or federal courts located in Delaware will have exclusive jurisdiction over disputes that are not required to be arbitrated, and each party consents to that jurisdiction and venue.Dispute Resolution and Class Action Waiver
Where permitted by law, disputes arising from or related to these Terms or the Services will be resolved by binding, individual arbitration rather than court litigation, except that either party may bring an individual claim in small-claims court (if eligible) or seek injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property or confidential information.
To the fullest extent permitted by law, all disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
If this arbitration provision is found unenforceable for a specific dispute, that dispute will be resolved exclusively in the courts described in the Governing Law and Dispute Venue section.Changes to the Services or Terms
a. We may update these Terms from time to time to reflect changes in the Services, law, or business operations.
b. If a change is material, we will provide reasonable notice (for example by posting on the website or emailing account holders).
c. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.General Legal Terms
a. Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, are the complete agreement between you and Band9prep regarding the Services.
b. Severability: If any provision is unenforceable, remaining provisions stay in effect.
c. Waiver: Our failure to enforce any provision of these Terms on any occasion will not be deemed a waiver of our right to enforce that provision or any other provision in the future. Any waiver of a provision of these Terms must be in writing and signed by us to be effective.
d. Assignment: You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, or asset transfer.
